Terms and Conditions for Bountee.io

Important notice: These Terms and Conditions constitute a legally binding agreement. Please read them carefully before using Bountee.io. By registering or using the platform, you confirm that you have read, understood, and agree to be bound by these terms.

1. Introduction

Welcome to Bountee.io (the "Platform"), a bounty-based task marketplace operated by CelestiaLabs Ltd ("CelestiaLabs", "we", "us", or "our"), a company incorporated in England and Wales with its registered office at 124 City Road, London, EC1V 2NX, United Kingdom. These Terms and Conditions (the "Terms") govern your access to and use of the Platform, including the Bountee.io website and any associated mobile or web applications.

By registering for an account, accessing, or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not access or use the Platform. These Terms apply to all users, including Posters, Claimers, Applicants, and visitors.

2. Definitions

  • Applicant: A registered user who applies for a Bountee before a Claimer has been selected.
  • Bountee: A task posted on the Platform by a Poster with an associated monetary reward payable upon successful completion and approval.
  • Claimer: A user who has been selected by a Poster from the pool of Applicants to complete a specific Bountee.
  • Content: Any text, images, files, reviews, messages, or other materials uploaded, posted, submitted, or otherwise made available on the Platform by a user.
  • Platform: The Bountee.io website, application, APIs, and all related services operated by CelestiaLabs Ltd.
  • Poster: A registered user who creates, funds, and publishes a Bountee on the Platform.
  • Referral Code: A unique alphanumeric code issued to a user with a verified email address, which, when used by another user at registration, establishes a referral relationship that reduces the completion fee that user pays as a Claimer, as described in Section 8.2.
  • Referrer: A verified user whose Referral Code has been used by another user at registration.
  • User: Any individual who accesses or uses the Platform, whether as a visitor, registered user, Poster, Applicant, or Claimer.
  • Payout: A payment made by CelestiaLabs Ltd to a Claimer, by bank transfer, of the accrued net rewards owed to them for their completed Bounties, once the minimum payout threshold has been reached. Bountee.io does not operate user wallets or hold user balances.

3. Eligibility

To register for and use the Platform, you must be at least 18 years old and have the legal capacity to enter into a binding contract under the laws of your jurisdiction. By accessing or using the Platform, you represent and warrant that you meet these eligibility requirements, that the information you provide is accurate and complete, and that your use of the Platform does not violate any applicable law or regulation.

CelestiaLabs Ltd reserves the right to refuse service, suspend, or terminate accounts at its sole discretion where eligibility cannot be verified or where continued use of the Platform would expose CelestiaLabs or other users to legal or financial risk.

4. Account Registration and Security

4.1 Registration Requirements

You may register for an account in either of two ways:

  • By email and password: you provide a valid email address, a password, your first name and your last name, and confirm your acceptance of these Terms and the Privacy Policy by ticking the box presented at registration.
  • By signing in with Google: you authorise Google to share your email address and, where available, your first and last name with the Platform. No password is created. By continuing through the Google sign-in button, beneath which notice of these Terms and the Privacy Policy is displayed, you accept these Terms and the Privacy Policy.

In both cases you agree to provide accurate, current, and complete information and to keep your account details up to date at all times. Where your name is not supplied by Google, you may be asked to complete it before using certain Platform features.

4.2 Password Requirements

Where you set a password, it must be at least eight (8) characters in length. Accounts created by signing in with Google have no password until you choose to set one through the password-reset flow; until then, Google sign-in is the only way to access such an account. You are solely responsible for maintaining the confidentiality of your password and of your Google account, and for all activity that occurs under your Bountee.io account.

4.3 Email Verification

Certain Platform functionality is conditional on verification of your email address. In particular, you will not be issued your own personal Referral Code to share with others, and cannot act as a Referrer, until your email address is verified. Registering using another user's Referral Code does not require verification and takes effect immediately, as described in Section 8.1. Where you register by signing in with Google, your email address is treated as verified on the basis of Google's own verification of it.

4.4 Account Security and Sessions

The Platform employs security measures to protect user accounts. Sessions expire after seven (7) days, at which point you will be required to re-authenticate. You must notify us immediately at contact@bountee.io of any unauthorised access to or use of your account.

4.5 Account Deletion

You may request deletion of your account at any time via your account settings, after confirming the request on the deletion screen. Upon deletion, your account is immediately closed and its personal data is erased or irreversibly anonymised: your name, email address, telephone number, date of birth, password, profile picture and privacy settings are removed, and your active sessions and any linked sign-in providers (such as Google) are deleted. Your account cannot be recovered, and signing in with Google again will create a new, separate account. Content you posted publicly, such as Bountees and reviews, may remain visible on the Platform but is no longer attributed to an identifiable person. Financial records, including transaction history and tax-relevant information, will be retained for seven (7) years in accordance with applicable UK legal and regulatory requirements.

5. The Bountee Lifecycle

Every Bountee progresses through a defined sequence of statuses. By posting or claiming a Bountee, you acknowledge and agree to the lifecycle described below.

  • PAYMENT PENDING: A card-backed Bountee has been created and is awaiting authorisation of the Poster's payment card, as described in Section 9.3. It is not publicly visible, not claimable, and does not proceed to administrative review until authorisation succeeds. Cash Bounties do not enter this state.
  • PAYMENT ABANDONED: Card authorisation for the Bountee was never completed, and the Bountee will not be published. This is distinct from CANCELLED, which applies to a Bountee that was published and subsequently withdrawn. No amount is charged to the Poster.
  • NEW: The Bountee has been created by the Poster and is under administrative review. It is not publicly visible while in this state.
  • REJECTED: The Bountee has been rejected by an administrator. The Poster may edit and resubmit the Bountee for review.
  • POSTED: The Bountee has been approved and is publicly visible on the Platform. Applicants may apply.
  • CLAIMED: An Applicant has been selected by the Poster as the Claimer, and work may commence.
  • SUBMITTED: The Claimer has submitted proof of completion for the Poster's review.
  • COMPLETED: The Poster has accepted the submission as satisfactory.
  • PAID: For a card-backed Bountee, the Poster has been charged and the reward, less the applicable completion fee, is owed to the Claimer and paid out by bank transfer. For a cash Bountee, the Poster has confirmed that they have paid the Claimer directly in cash. In both cases the Bountee is closed.
  • CANCELLED: The Bountee has been cancelled by the Poster or an administrator before reaching the PAID status.

While a Bountee is in the SUBMITTED status, the Poster may request additional proof or revisions, in which case the Bountee will return to the CLAIMED status. A Claimer may, at any time while a Bountee is CLAIMED, abandon the Bountee, in which case it will return to the POSTED status and become available for other Applicants. Administrators review all newly created Bountees and reserve the right to approve or reject them before they become publicly visible.

6. Applications and Selection

A Bountee may receive applications from multiple Applicants. Each application may include an optional message of up to two thousand (2,000) characters. An Applicant may withdraw their application at any time prior to selection. The Poster has sole discretion over which Applicant, if any, is selected as the Claimer. When a Claimer is selected, all other Applicants will be notified that their application was not successful.

Neither CelestiaLabs Ltd nor the Platform guarantees that any Bountee will receive applications, or that any Applicant will be selected. The relationship between a Poster and a Claimer is strictly a Platform transaction and does not constitute employment, partnership, agency, or any other relationship.

7. Platform Fees

CelestiaLabs Ltd charges fees for certain activities on the Platform. All applicable fees are deducted automatically, and users receive or pay the net amount. By using the Platform you acknowledge and agree to the fees set out below.

7.1 Posting a Card-Backed Bountee

There is no separate fee for posting a card-backed Bountee. When you post a card-backed Bountee, your payment card is authorised for the reward amount you set. As described in Section 9.3, you may be charged when the Bountee completes, or sooner if the authorisation is nearing expiry beforehand; either way, you are never charged more than the reward amount you set, which must fall within the minimum and maximum reward limits shown on the Platform at the time of posting.

7.2 Completion Fee

A completion fee of two per cent (2%) is applied to the reward of a card-backed Bountee at the moment it reaches the PAID status and is retained by CelestiaLabs Ltd. The fee is deducted from the reward before payout, so the Claimer receives the reward less this fee. The Poster is charged the full reward amount they set: there is no separate fee for posting, and the completion fee does not increase what the Poster pays.

Where the Claimer registered using a valid Referral Code, the completion fee deducted from their reward is permanently reduced to one per cent (1%), as described in Section 8. The reduction follows the Claimer, because the Claimer is the party from whose reward the fee is taken. It applies to every Bountee they complete, regardless of who posted it. Cash Bounties, which are settled directly between users, carry no Platform fee.

7.3 Payouts to Claimers

CelestiaLabs Ltd does not charge the Claimer a fee to receive their payout. The net reward (the Bountee reward less the applicable completion fee described in Section 7.2) is paid to the Claimer by bank transfer to a bank account in their name. Payouts may take a number of business days to arrive.

7.4 Changes to Fees

CelestiaLabs Ltd may amend its fees from time to time. Any change to fees will be subject to the notice procedure set out in Section 19.

8. Referral Programme

8.1 Referral Codes

Upon verifying their email address, every registered user becomes eligible to refer others and is issued a unique personal Referral Code. Until an account is verified, no Referral Code is issued to it and it cannot act as a Referrer. When a new user registers using a valid Referral Code, a permanent referral relationship is established between the Referrer and the referred user at the point of registration. Once established, this referral relationship cannot be changed, transferred, or removed.

8.2 Benefits for the Referred User

A referred user pays a permanently reduced completion fee on the Bounties they complete as a Claimer — one per cent (1%) instead of two per cent (2%), as set out in Section 7.2. In practical terms they keep more of every reward they earn, for as long as they use the Platform. The reduction is funded by CelestiaLabs Ltd out of its own fee; it is not recovered from the Poster, who pays the same reward amount either way.

The reduction applies only to the completion fee taken from a Claimer's reward. Posting a Bountee carries no Platform fee, so a referred user posting a Bountee receives no discount, because there is nothing to discount. The reduction remains in effect even if the Referrer's account is later suspended or deleted.

8.3 No Cash Reward for Referrers

The referral programme does not provide any cash commission, payment, or other monetary reward to the Referrer. The sole benefit of the programme accrues to the referred user, in the form of the reduced completion fee described above.

8.4 No Commission Cap

As no cash commission is payable to Referrers, no commission cap applies. The referred user's reduced completion fee is not capped and applies for the lifetime of the referral relationship.

8.5 No Multi-Level Referrals

The referral programme operates on a single level only. The reduced completion fee benefits solely the directly referred user and is not passed to any further ("upstream") user.

8.6 Referral Fraud

Creating accounts, or inducing others to do so, for the primary purpose of obtaining referral fee discounts, as well as any other form of referral fraud, constitutes a material breach of these Terms. Any such conduct will result in immediate termination of the accounts concerned and forfeiture of any fee discounts obtained.

9. Payments and Payouts

9.1 Payment Processing

Card payment processing on the Platform is powered by Revolut, which acts as CelestiaLabs Ltd's payment service provider. Bountee.io operates as a marketplace and merchant of record, and handles card payments on behalf of Posters using the authorisation and capture process described in Section 9.3 below. A Bountee's reward may be paid either by payment card (processed through the Platform) or by in-person cash, where the Poster and Claimer settle the reward directly between themselves and outside the Platform's payment infrastructure. Each Bountee reward must fall within the minimum and maximum reward limits shown on the Platform at the time of posting. CelestiaLabs Ltd reserves the right to apply additional limits to specific users or transactions where required for fraud prevention, regulatory compliance, or risk management. By initiating a transaction, you authorise CelestiaLabs Ltd and its payment service providers to process the relevant payment on your behalf.

9.2 No User Balances

Bountee.io does not operate user wallets and does not hold balances on behalf of users. Each Bountee reward is charged individually to the Poster's payment card when the authorisation is captured, as described in Section 9.3, and each Claimer's earnings are paid out to them individually by bank transfer. CelestiaLabs Ltd does not offer, and the Platform does not provide, any facility to store, top up, or withdraw a balance.

9.3 Authorisation and Payment Capture

When a Poster posts a card-backed Bountee, their payment card is authorised (a hold is placed) for the Bountee reward amount at the time of posting. No funds are charged at this point. This authorisation is held by Revolut, CelestiaLabs Ltd's payment service provider, until one of the following events occurs:

  • Bountee completed: When the Poster accepts the Claimer's submission and the Bountee reaches PAID status, CelestiaLabs Ltd captures the authorisation. The full reward amount is charged to the Poster's payment method and received into CelestiaLabs Ltd's merchant account. The net reward (the reward less the applicable completion fee) is then owed to the Claimer and paid out to them by bank transfer, as described in Section 9.4.
  • Authorisation nearing expiry: Card authorisations are not held indefinitely and lapse after a period set by CelestiaLabs Ltd's payment service provider. If a Bountee has not yet completed as its authorisation approaches this expiry, CelestiaLabs Ltd will, in accordance with its capture policy then in effect, either capture the authorisation early (charging the Poster's payment method in full, as if the Bountee had completed) or allow the authorisation to lapse and be released at no charge to the Poster. CelestiaLabs Ltd may change this policy, and the length of the authorisation period, from time to time without amending these Terms.

10. Reviews and Ratings

Reviews may only be submitted after a Bountee has reached the PAID status. A user may not review themselves. Reviews must not exceed two thousand (2,000) characters and must comply with the general conduct rules set out in Section 12. Reviews are published publicly and are attributed to the reviewer's profile. A user's overall rating is calculated as a computed average of reviews received and is publicly displayed.

Reviews are permanent and may only be removed where the Content is demonstrably false, defamatory, unlawful, or otherwise violates these Terms. Requests for removal must be submitted to contact@bountee.io.

11. Content and File Uploads

11.1 File Limits and Moderation

Images uploaded to the Platform must not exceed five megabytes (5MB) per file. All uploaded Content is automatically scanned for prohibited material, including but not limited to NSFW, illegal, or otherwise harmful material. Content that is rejected by automated moderation will not be uploaded, and the user will receive an error message. Files may be automatically resized and compressed for performance and storage optimisation.

11.2 Licence Granted to CelestiaLabs Ltd

By uploading Content to the Platform, you grant CelestiaLabs Ltd a non-exclusive, royalty-free, worldwide licence to store, display, reproduce, resize, optimise, and otherwise process that Content solely for the purpose of operating, maintaining, and providing the Platform. This licence terminates when the Content is deleted from the Platform, except where retention is required by law or to comply with a legal process.

11.3 User Responsibility

You remain solely responsible for any Content you upload and represent and warrant that you have all necessary rights to the Content and that it does not infringe the rights of any third party.

12. User Conduct and Prohibited Behaviour

You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms. Without limiting the foregoing, you must not:

  • Use the Platform for any unlawful purpose or in any way that violates any applicable law or regulation;
  • Post any false, defamatory, obscene, misleading, or otherwise objectionable Content;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Engage in harassment, bullying, threats, or hate speech directed at any individual or group, whether based on race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, age, or any other protected characteristic;
  • Create or maintain multiple accounts ("multi-accounting") in order to circumvent fees, bans, referral rules, or transaction limits;
  • Use bots, scrapers, crawlers, or any other automated means to access or interact with the Platform without our prior written permission;
  • Send spam or unsolicited commercial messages to other users;
  • Attempt to circumvent Platform fees or payment flows by transacting off-Platform;
  • Post Bountees for illegal, dangerous, harmful, or otherwise prohibited tasks;
  • Interfere with, disrupt, or impair the Platform's infrastructure, security, or operation;
  • Upload, post, or transmit any NSFW, illegal, or otherwise prohibited Content.

13. Moderation and Enforcement

All Content on the Platform is subject to automated and manual moderation. CelestiaLabs Ltd reserves the right, at its sole discretion and without prior notice, to remove any Content and to suspend or terminate any account that it believes, in good faith, to be in breach of these Terms or otherwise harmful to the Platform or its users.

Violations may be sanctioned by, amongst other measures: Content removal, the issuing of a warning, temporary suspension, or permanent termination of the account concerned. Users may report violations of these Terms by emailing contact@bountee.io. Appeals against account suspension or termination must be submitted in writing to the same address within fourteen (14) days of the decision being communicated.

14. Notifications and Communications

The Platform sends in-app notifications, which appear within the Platform when you visit it, and email notifications. These relate to account activity, Bountee lifecycle events, security alerts, and Platform updates. The Platform does not currently send mobile or browser push notifications. Essential security and account notifications are necessary for the operation of the Platform and cannot be disabled. You may manage your other notification preferences via your account settings.

Marketing communications are sent only on the basis of separate consent, which you may withdraw at any time via your account settings or by following the unsubscribe instructions contained in each marketing message.

15. Privacy and Data Protection

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and safeguard your personal data. By using the Platform, you acknowledge that you have read and understood the Privacy Policy.

As a data subject under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, you have a number of rights in relation to your personal data, including the rights of access, rectification, erasure, data portability, restriction of processing, and objection to processing. Where processing is based on consent, you may withdraw your consent at any time via your account settings without affecting the lawfulness of processing carried out prior to withdrawal.

In the event of a personal data breach, CelestiaLabs Ltd will notify affected users and, where applicable, the Information Commissioner's Office (ICO) in accordance with applicable UK data protection law.

16. Subscriptions and Followers

Users may follow other users in order to receive updates on their Platform activity. By default, follower lists are publicly visible on user profiles, subject to the privacy settings available in the user's account. Users may remove followers and restrict the visibility of their follower list at any time via their privacy settings.

17. Disclaimers and Limitation of Liability

17.1 No Warranties

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, CelestiaLabs Ltd makes no representations or warranties of any kind, express or implied, regarding the availability, uptime, reliability, accuracy, completeness, or fitness for a particular purpose of the Platform or any Content made available through it. We do not warrant that the Platform will be error-free or uninterrupted.

17.2 Limitation of Liability

To the fullest extent permitted by the laws of England and Wales, CelestiaLabs Ltd's total aggregate liability to any user in respect of all claims arising out of or in connection with the Platform or these Terms shall not exceed the greater of (i) one hundred pounds (£100) or (ii) the total fees paid by that user to CelestiaLabs Ltd in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits CelestiaLabs Ltd's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot lawfully be excluded or limited under English law, including any rights you may have under the Consumer Rights Act 2015.

17.3 No Employment Relationship

Bountees are not employment contracts. Nothing on the Platform creates an employment, worker, agency, partnership, or joint venture relationship between CelestiaLabs Ltd and any user, or between users. Posters and Claimers act as independent parties, and each is solely responsible for their own tax, national insurance, and other legal obligations arising out of their use of the Platform.

18. Indemnification

You agree to indemnify, defend, and hold harmless CelestiaLabs Ltd, its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with (i) your use of the Platform, (ii) your breach of these Terms, (iii) your infringement of any third-party right, or (iv) any Content you post, upload, or transmit through the Platform.

19. Changes to these Terms

CelestiaLabs Ltd may amend these Terms from time to time. Where a change is material, we will provide not less than thirty (30) days' notice via email and in-Platform notification prior to the change taking effect. Continued use of the Platform after the notice period constitutes acceptance of the amended Terms.

If you do not accept the amended Terms, you must cease using the Platform and may request deletion of your account in accordance with Section 4.5.

20. Termination

CelestiaLabs Ltd reserves the right to suspend or terminate your account and access to the Platform at its sole discretion, with or without notice, for any breach of these Terms or where continued access would expose CelestiaLabs or other users to legal, financial, or reputational risk. You may terminate your account at any time in accordance with Section 4.5. Termination does not affect any rights or obligations that have accrued prior to the date of termination, including obligations relating to financial records, fees, and liabilities.

21. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

22. Dispute Resolution

In the first instance, users should attempt to resolve any dispute informally by contacting us at contact@bountee.io. If the dispute cannot be resolved within thirty (30) days of the initial contact, it shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from any competent court.

Users resident in the European Union may also make use of the European Commission's Online Dispute Resolution platform, available at https://ec.europa.eu/consumers/odr.

23. General

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed to the minimum extent necessary and the remaining provisions shall continue in full force and effect. A failure or delay by CelestiaLabs Ltd to exercise any right or remedy provided under these Terms or by law shall not constitute a waiver of that or any other right or remedy. These Terms constitute the entire agreement between you and CelestiaLabs Ltd in relation to the Platform and supersede any prior agreements or understandings. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent.

  • Bountee cancelled before capture: If the Bountee is cancelled while the authorisation has not yet been captured, the hold is voided at no charge to the Poster. No funds are taken from the Poster's payment method.
  • Bountee cancelled after capture: If the Bountee is cancelled after the authorisation has already been captured, CelestiaLabs Ltd will issue a full refund to the Poster's original payment method. Refunds may take up to ten (10) business days to appear depending on the Poster's bank or card issuer.
  • CelestiaLabs Ltd acts as the merchant of record for all card transactions on the Platform. Funds received from Posters are disbursed to Claimers in accordance with these Terms. CelestiaLabs Ltd is not a bank or regulated payment institution, and does not hold client funds on deposit or provide any account or balance facility to users.

    9.4 Claimer Earnings and Payouts

    When a Bountee reaches PAID status, the net reward owed to the Claimer (the Bountee reward less the applicable completion fee) is recorded as an amount owed and accrues to the Claimer. Amounts owed accrue, and are requested and paid out, separately for each currency (GBP and EUR); Bountee.io does not convert between currencies.

    A Claimer may request a payout of their accrued amount for a currency once it reaches the minimum payout threshold for that currency, as shown in the Claimer's account. This threshold keeps the cost of bank transfers proportionate and may differ between currencies and be changed by CelestiaLabs Ltd from time to time. Requesting a payout pays out the whole accrued amount for that currency and resets it to zero; payment is then made by bank transfer and may take a number of business days to arrive.

    Amounts owed below the threshold carry over and remain payable, and will be paid out in full on closure of the Claimer's account regardless of the threshold. Amounts owed earn no interest, cannot be spent or transferred, and do not constitute a wallet, balance, deposit, or bank account - they are simply a record of what CelestiaLabs Ltd owes the Claimer for completed work.

    To receive a payout, the Claimer must provide accurate bank details; the Claimer is responsible for their accuracy, and CelestiaLabs Ltd is not liable for delays or failures caused by incorrect details or by the Claimer's bank or payment provider.

    9.5 Fraud Detection

    CelestiaLabs Ltd employs automated and manual fraud detection systems. Where suspicious activity is detected, we reserve the right to place a temporary hold on the affected funds pending investigation and to request additional information from the user in order to release those funds.

    9.6 Cash Bounties

    A Poster may settle a Bountee in person by cash. Cash payments are made directly between the Poster and the Claimer, offline and outside the Platform. CelestiaLabs Ltd does not process, receive, hold, transmit, or guarantee cash payments, does not act as merchant of record for them, and charges no fee on them. Marking a cash Bountee as PAID records only the Poster's confirmation that payment was made; it is a reference record and does not constitute proof of payment or verification by CelestiaLabs Ltd. The protections in Section 9.3 (authorisation, capture, and refund) do not apply to cash Bounties. The Poster and Claimer are solely responsible for arranging, making, receiving, and evidencing cash payment, and CelestiaLabs Ltd accepts no liability for any dispute, non-payment, underpayment, or loss arising from a cash Bountee.
